Terms of Service — Novosteer Technologies Corp.

These Terms of Service (“Agreement”) govern your access to and use of Novosteer Technologies Corp.’s (“Novosteer,” “we,” “our,” or “us”) website, applications, and software-as-a-service platform — including NovoTrade-In AI and related tools (“Services”).

By creating an account, accessing, or using the Services, you agree to be bound by this Agreement. If you do not agree, you may not use the Services.

1. Services Overview

Novosteer provides cloud-based SaaS tools for automotive dealerships, including real-time trade-in valuations, AI-powered pricing intelligence, and lead generation dashboards. The Services may include:

• Consumer-facing appraisal widgets on dealership websites

• Dealer/admin dashboards for inventory, reporting, and lead management

• APIs and integrations with third-party data providers

2. Eligibility

• You must be at least 18 years old and authorized to bind your business to this Agreement.

• You represent that the information you provide to us is accurate and complete.

3. License & Access

• Novosteer grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal business purposes during your subscription term.

• Except as expressly authorized, you may not resell, sublicense, or make the Services available to third parties.

4. Data Ownership & Usage

• Your Data: You retain ownership of customer, vehicle, and trade-in data you input into the Services.

• Our Rights: You grant Novosteer a worldwide, royalty-free license to host, store, process, and analyze Your Data solely for (i) delivering the Services, (ii) improving system performance, and (iii) generating anonymized, aggregated insights.

• Restrictions: Novosteer does not sell Your Data to third parties. We may share anonymized or aggregated data that cannot reasonably identify you or your customers.

5. Subscription, Billing & Payment

• Free Trials: Certain features may be offered with a time-limited free trial. At the end of the trial, continued use requires a paid subscription.

• Fees: Unless otherwise agreed in writing, subscription fees (e.g., $699/month) are billed in advance, on a monthly basis, and are non-refundable.

• Auto-Renewal: Subscriptions automatically renew at the then-current rate unless cancelled prior to renewal.

• Suspension/Termination: We may suspend or terminate access for non-payment, fraud, or violation of this Agreement.

6. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted access.

• Temporary interruptions may occur due to maintenance, updates, or network issues.

• Novosteer is not liable for delays or failures caused by factors outside our control (force majeure).

7. Beta Features

• Some features may be designated as “Beta” or “Preview.”

• Beta features are provided “as is” without warranty, may be changed or discontinued, and may not be suitable for production use.

8. AI & Valuation Disclaimer

• Novosteer uses AI and machine learning to provide valuation intelligence.

• Dealerships remain solely responsible for final pricing, offers, and trade-in decisions.

• No guarantee is made regarding accuracy, profitability, or sales outcomes.

9. Security

• Novosteer employs reasonable technical and organizational measures to protect Your Data.

• However, no system is 100% secure, and you use the Services at your own risk.

10. Confidentiality

• You agree to treat as confidential all non-public information disclosed by Novosteer, including pricing, features, algorithms, and proprietary data models.

• This obligation survives termination.

11. Restrictions on Use

You agree not to:

• Copy, modify, reverse-engineer, or attempt to extract source code, logic, or models.

• Use the Services to build a competing product.

• Provide access to competitors or share benchmarking results without prior written consent.

• Introduce malware, automated scraping tools, or disruptive activity.

12. Proprietary Rights

• All intellectual property (software, models, algorithms, trade secrets, branding) is owned exclusively by Novosteer.

• Your use does not transfer any ownership rights.

13. Indemnification

You agree to indemnify, defend, and hold harmless Novosteer, its affiliates, officers, employees, and agents from any claim, damages, or liability arising out of:

• Your use or misuse of the Services,

• Your violation of this Agreement, or

• Your infringement of third-party rights.

14. Limitation of Liability

• To the maximum extent permitted by law, Novosteer is not liable for indirect, incidental, punitive, or consequential damages.

• In all cases, Novosteer’s liability shall not exceed the amount paid by you in the 12 months preceding the claim.

15. Term & Termination

• Either party may terminate this Agreement with written notice.

• Upon termination:

  • Access to the Services will cease.

  • Outstanding fees remain payable.

  • Certain provisions (confidentiality, data use, IP rights, indemnity, liability limits) will survive.

16. Audit & Compliance Rights

Novosteer reserves the right to audit your use of the Services to confirm compliance with this Agreement. Non-compliance may result in suspension, termination, or legal action.

17. Publicity

Unless declined in writing, you grant Novosteer the right to include your dealership name and logo in our client listings, marketing materials, and case studies.

18. Governing Law & Dispute Resolution

• This Agreement is governed by the laws of Manitoba and Canada.

• Any disputes will be resolved exclusively in the courts of Winnipeg, Manitoba.

• If required by law, arbitration or mediation may be used as a first step.

19. Export Control & Compliance

You agree not to use the Services in violation of export control, data protection, or applicable dealership compliance laws.

20. Changes to These Terms

We may update these Terms periodically. Updates will be posted on our website or notified via email/dashboard. Continued use constitutes acceptance of revised Terms.

Final Clause

By using Novosteer’s Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service.
